Terms of Service

These Terms of Service (“Terms”) govern your access to and use of TEQNOCO’s websites, web applications, APIs, and related services, including but not limited to Translate, Vault, Transcribe, Fashion, ROI, Calculator, WhichFlow, Blogger, and Quaff (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

These Terms are a legal agreement between you and TEQNOCO LTD (“TEQNOCO,” “we,” “us,” or “our”), an Irish company. If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation, and “you” refers to that organisation.

Important: Sections 11–14 include warranty disclaimers, limitations of liability, and indemnification obligations. Please read them carefully.

1) Definitions

  • Account: A unique profile enabling access to the Services.

  • Content: Text, data, images, audio, video, code, prompts, inputs, outputs, and other material.

  • User Content: Content you submit to or through the Services (including prompts, documents, datasets, audio/video, URLs, images, and configuration data).

  • Generated Content: Outputs produced by the Services (including AI-generated text, transcripts, translations, calculations, and recommendations).

  • Apps: The individual TEQNOCO web apps listed above.

  • Google User Data: Any data obtained via Google OAuth or Google APIs.

2) Eligibility & Business Use

You must be at least 18 years old and have the legal capacity to enter into these Terms. The Services are designed primarily for business and professional use. If you access the Services as a consumer, statutory rights that cannot be waived under applicable law remain unaffected.

3) Accounts, Security & Access

  • You are responsible for your Account, credentials, and all activities under it.

  • You must maintain the security of your login information and promptly notify us of any suspected unauthorised use.

  • You agree not to circumvent technical controls, rate limits, or access restrictions.

4) Acceptable Use

You must not (nor permit others to):

  1. Violate laws or third-party rights (including IP, privacy, and publicity rights).

  2. Upload or process unlawful, harmful, defamatory, infringing, or otherwise objectionable content.

  3. Use the Services for spam, malware, phishing, surveillance, or high-risk activities (e.g., operation of life-support, medical, or critical infrastructure systems).

  4. Reverse engineer, decompile, or attempt to extract source code or models, except to the extent such restriction is prohibited by law.

  5. Interfere with or disrupt the Services, including via scraping, excessive automated requests, or attempts to bypass security.

  6. Misrepresent output as human-authored when disclosure is required by law or platform rules.

  7. Use Generated Content without appropriate human review in contexts where accuracy is critical (e.g., legal, financial, medical decisions).

We may suspend or terminate access for violations.

5) Your Content & License to TEQNOCO

As between you and TEQNOCO, you retain ownership of your User Content. You grant TEQNOCO a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create derivative works from User Content solely to provide, secure, maintain, and improve the Services, to comply with law, and to prevent harm or abuse.

Where permitted by law and your agreements with your users, you also grant us a limited license to use de-identified and aggregated data for analytics, quality improvement, and benchmarking. We do not sell personal data.

You are solely responsible for the legality, accuracy, and integrity of your User Content and for obtaining any necessary rights and consents (e.g., recording/transcription consent in Transcribe).

6) Generated Content & Your Responsibilities

You may use Generated Content for any lawful purpose, subject to these Terms and any third-party rights. AI-generated outputs can be incorrect or incomplete. You are responsible for verifying accuracy and appropriateness before use, publication, or reliance, especially in legal, financial, medical, compliance, or safety-critical contexts.

7) Service-Specific Terms

A) Translate – Machine translation may contain errors. Do not rely on it for legally binding or safety-critical documents without independent human review.

B) Vault – Provides storage/organisation features. You are responsible for classifying, encrypting (where applicable), and backing up your data. Do not store illegal content. Vault is not a records management system of record unless explicitly stated in a written agreement.

C) Transcribe – You must ensure all recordings comply with applicable consent and privacy laws. TEQNOCO is not responsible for the substance of recordings or derived transcripts.

D) Fashion – Provides style insights/recommendations. Results are subjective and informational only.

E) ROI & Calculator – Provide analytical and numerical outputs based on your inputs or assumptions. Outputs are informational only and do not constitute financial, tax, or investment advice.

F) WhichFlow – Builds/executes workflows or automations. You are responsible for verifying logic and downstream effects (including in third-party systems) before production use.

G) Blogger – Generates or structures content for publishing. You are responsible for editorial review, compliance, and obtaining necessary rights (e.g., images, quotes).

H) Quaff – May reference beverages or alcohol. You must comply with local laws regarding alcohol. Content is for informational purposes and not health advice.

8) Third-Party Services & Open-Source

The Services may integrate third-party platforms (e.g., Google, productivity suites, storage providers, payment processors) and open-source software. Your use of third-party services may be subject to their own terms and privacy policies. TEQNOCO is not responsible for third-party services, their availability, or their handling of your data.

9) OAuth & Google User Data (Limited Use)

When you connect a Google Account via OAuth:

  • We request only the minimum scopes needed for the selected features.

  • Google User Data is used only to provide or improve the user-facing features you’ve enabled, for security, to comply with law, and to prevent abuse.

  • We do not sell Google User Data or transfer it except (a) with your consent, (b) to provide or secure the Services, (c) to comply with law, or (d) as part of a merger, acquisition, or asset transfer with equivalent protections.

  • You can revoke TEQNOCO’s access at any time via your Google Account Security settings.

  • To request deletion of Google User Data stored by TEQNOCO, contact us (see Section 20).

  • Our practices are designed to align with Google’s User Data requirements. See our Privacy Policy for details.

10) Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal data. By using the Services, you consent to our data practices in the Privacy Policy. The Services are not designed to process protected health information (PHI) and TEQNOCO is not a HIPAA business associate.

11) Disclaimers

To the fullest extent permitted by law:

  • The Services, including all content and outputs, are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied.

  • TEQNOCO disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and reliability.

  • We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that data will be preserved without loss.

12) Limitation of Liability

To the maximum extent permitted by law:

  • Indirect Damages Excluded. TEQNOCO shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages (including lost profits, lost revenue, loss of goodwill, loss of data, or business interruption), even if advised of the possibility of such damages.

  • Cap on Direct Damages. TEQNOCO’s total cumulative liability for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of (a) the amounts you paid to TEQNOCO for the Services that gave rise to the claim in the 12 months preceding the event giving rise to liability, or (b) €100 if you have not paid any fees.

  • These limitations apply to the fullest extent permitted by law and regardless of the legal theory (contract, tort, strict liability, etc.).

Some jurisdictions do not allow certain disclaimers or limitations; in such cases, the above applies to the maximum extent permitted.

13) Indemnification

You will defend, indemnify, and hold harmless TEQNOCO and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Services; (b) your User Content; (c) violation of these Terms; or (d) violation of any law or third-party right.

14) Intellectual Property & Feedback

The Services, including software, models, and UI, are owned by TEQNOCO or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.

If you provide feedback or suggestions, you grant TEQNOCO a worldwide, perpetual, irrevocable, royalty-free license to use and exploit that feedback for any purpose without restriction or attribution.

15) Fees & Taxes (If Applicable)

If you purchase paid features, you agree to pay the fees listed at the time of purchase, plus applicable taxes. Unless stated otherwise, fees are non-refundable. Late or failed payments may result in suspension or termination.

16) Changes, Availability & Support

  • We may modify or discontinue features or the Services at any time with or without notice.

  • We are not obligated to provide support, updates, or maintenance unless expressly agreed in a separate written agreement.

  • From time to time, we may offer beta or experimental features; such features are provided “AS IS” and may be modified or removed at any time.

17) Suspension & Termination

We may suspend or terminate your access immediately if you violate these Terms, if required by law, or if your use poses a security or operational risk. You may stop using the Services at any time. Upon termination, your rights under these Terms end, but Sections 5–6, 8–14, 16–21 survive.

18) Export, Sanctions & Anti-Corruption

You must comply with all applicable export control and sanctions laws and may not use the Services in or for the benefit of persons or entities subject to sanctions. You must not use the Services to facilitate bribery or corrupt practices.

19) Governing Law & Dispute Resolution

These Terms are governed by the laws of Ireland, excluding conflict-of-laws rules. The courts of Ireland will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to their personal jurisdiction. If you are a consumer and mandatory laws provide you with additional protections, those protections remain unaffected.

Data & OAuth Requests: To revoke Google access, visit your Google Account Security settings. To request deletion of Google User Data stored by TEQNOCO, or to submit other privacy requests, contact hello@teqnoco.com.

IP Complaints/DMCA: Send notices to hello@teqnoco.com with sufficient detail to identify the copyrighted work and allegedly infringing material, plus your contact information and a statement under penalty of perjury that you are authorised to act.

21) Miscellaneous

  • Entire Agreement. These Terms and any referenced policies (e.g., Privacy Policy, Service-Specific terms published by TEQNOCO) constitute the entire agreement and supersede prior agreements on the subject.

  • Amendments. We may update these Terms by posting the revised version with the “Last updated” date. Continued use after changes means acceptance.

  • Severability. If any provision is unenforceable, the remainder remains in effect.

  • No Waiver. A failure to enforce a provision is not a waiver.

  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

  • Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.

22) Conclusion

By using TEQNOCO’s Services, including Translate, Vault, Transcribe, Fashion, ROI, Calculator, WhichFlow, Blogger, and Quaff, you acknowledge and agree to these Terms, including the disclaimers, limitations of liability, indemnification, and acceptable use obligations designed to safeguard TEQNOCO and ensure responsible, compliant use.
